Welcome to “LoyalWebSolutions.co.uk” a web design and SEO provider (the “Service”). Please read these terms and conditions carefully to be sure that you understand them. These Terms & Conditions form the Agreement between You and Us.

By purchasing the Services, you warrant that you are capable of entering into a binding contract; or are acting with the express permission of a person or organisation and using the payment details of that person and that they also agree to be bound by the terms of this Agreement. You also agree to comply and adhere to any and all applicable laws and regulations in relation to this Agreement. You certify that You are 18 years or older.

TTD Web Service Ltd reserves the right to amend, modify or alter any of these Terms and Conditions without the prior consent of You.

1. Application of These Terms

These terms and conditions (“Terms”) apply to all and any use of https://www.loyalwebsolutions.co.uk the purchase of any Services and all emails, messages and other communications made to Us.

LoyalWebSolutions.co.uk is operated by TTD Web Services Ltd a company registered under the laws of England and Wales, whose company number is 06670819 (“us”, “we”, “our”, “TTD Web Services Ltd”, “LoyalWebSolutions.co.uk”).

Commencement of this Agreement

This Agreement will only commence when We provide You with written confirmation that your Order has been accepted.

Once you have purchased a Service from the Us, you have entered into a legally binding contract for the provision of this Service. We will contact you within 48 hours (excluding weekends and bank holidays) to progress your order.

The Contract is between TTD Web Services Ltd, the owner of website LoyalWebSolutions.co.uk, and the Customer for the supply of Services in accordance with these Terms.

2. Definitions

Materials: The content provided to Us by the Customer for incorporation in the Site including for the benefit of doubt the complete text and graphic content for the Site and any existing Site content.

Site: The website being developed (the Service) for the Customer pursuant to the contract.

Project: The Customer’s order from Us pursuant to the contract.

Services: Means the services to be provided to You by LoyalWebSolutions.co.uk.

Completion: Delivery of the Site may be accomplished by live publishing or electronic transfer to the Customer’s address provided on the Contract.

Site Specification: Scope of design, structure and functionality including the number of pages of the Service purchased.

You / Customer: Means the person or company who purchases services from LoyalWebSolutions.co.uk.

3. Information

We process information about you in accordance with our Privacy Policy which sets out more information about your data and privacy. You consent to such processing and you warrant that all data provided by you is correct.

We use LoyalWebSolutions.com (based in India) as a provider for web design, Maintenance and SEO services.  We will therefore share your contact details (name, email) with LoyalWebSolutions.com.  No Financial information is shared.

4. Supply of Services

We agree to supply the Services to You in accordance with the terms set out in this Agreement.

We will use reasonable endeavours to supply the Services to You as soon as it is reasonably practicable and in the event that We become aware of any reason for delay, We shall notify You.

We will not be liable to You if We, using Our endeavours, fail to supply the Services within a specific timescale.

We reserve the right to improve, modify or change the Services provided to You and We will use reasonable endeavours to notify You as soon as it is reasonably practical to do so.

We will provide the Services to You using reasonable skill and care but at all times this will be subject to any downtime caused by scheduled or emergency maintenance or repair. We will use Our reasonable endeavours to ensure that any disruption to the Services is minimal. We will not be liable to You or any third party for losses whatsoever caused by any such downtime; whether emergency or scheduled.

Prices for our Services are subject to change without notice.

We shall not be liable to you or to any third-party for any modification, price change, suspension or discontinuance of the Service.

We reserve the right, but are not obligated, to limit the sales of our Services to any person, geographic region or jurisdiction. We may exercise this right on a case-by-case basis. We reserve the right to limit the quantities of any services that we offer.

For the avoidance of doubt, the Contract is formed when You place the Order button through Our website, and therefore providing Us with permission to commence your Services.

We reserve the right to cancel and/or withdraw Your Service at any time without reason by providing you 30 days’ written notice.

We use a variety of providers to support and provide the Service.  These include:

  • UK Hosting: IONIS.co.uk (UK based servers)
  • SSL: IONIS.co.uk, Cloudflare.com based in USA
  • Web Design, Development, Maintenance and SEO:  LoyalWebSolutions.com based in India.

Each of these Providers have their own T & C and Privacy Policies.

5. Payment

All payments must be made in UK pounds sterling, inclusive of applicable taxes.

The price for the Services shall be as out in the Contract.

  • Static Web Design and Ecommerce Web Design are paid for in full (onetime payment) at the time of purchase from LoyalWebSolutions.co.uk (TTD Web Services Ltd). 
  • SEO and Website Maintenance are subscription-based services and are paid for monthly. The Customer will be re-billed each month.

The Customer shall pay all amounts due under the Contract in full without any set-off, counterclaim, deduction or withholding except as required by law.

Payment may be through a payment gateway on LoyalWebSolutions.co.uk or invoices will be raised by TTD Web Service Ltd at the time of ordering our Service. Invoices are sent by email although the Customer may elect to receive hard copy invoices.

If the Customer fails to make any payment due to TTD Web Service Ltd under the Contract by the due date for payment TTD Web Services Ltd may at its sole discretion suspend any ongoing work and Services. TTD Web Services Ltd reserves the right to take down the Site until confirmation of payment has been received.

You warrant that You are authorised to use Your chosen method of payment. If You are not the named cardholder, You acknowledge that You and the named cardholder both agree to be bound by the terms of this Agreement and are jointly and severally liable for all payments under this Agreement. You agree to indemnify and hold Us harmless in the event that the cardholder or issuer declines any payments to Us including all of our costs in administering your non-payment and obtaining the payment due to Us by You.

We reserve the right to suspend all Services until payment is received in full and all outstanding charges are cleared. Any non-payment of a recurring invoice may be subject to an administration charge. You are responsible for all money owed to Us under the terms of this Agreement until it is terminated. You are also responsible for any additional costs incurred by Us in taking steps to recover any sums due by You.

By employing our services, you accept absolute and unlimited personal liability for any all costs you incur

6. Subscription

Subscriptions apply to SEO and Website Maintenance service only.

Website Maintenance Packages

  • Within your contract, you are allotted 12 hours to be used for website Maintenance each month
  • It is your responsibility to utilise the time.
  • You understand that any time booked cannot be replaced
  • Any time unused is due for full payment
  • You accept full liability for any and all time unused
  • You understand that other customers could have bought the time you booked

Cancelling your subscription

You may pause or terminate your Subscription with us before your next renewal date. Cancellation may be requested by emailing team@loyalwebsoultions.co.uk

If you cancel your Subscription, you will still continue to enjoy and receive all your subscriber benefits until the end of your then paid for Subscription period, after which time these benefits will cease. A request for cancellation under this clause does not give rise to a refund for any unused amounts of Subscription fees paid.

Subscription Automatic Renewal

Unless stated otherwise, when your current Subscription expires, your Subscription will automatically be renewed for the same Subscription term that you originally purchased, e.g. every month and at the original price that you paid for your Subscription. Subscription fees will not increase for the duration of your Subscription, despite any overall price changes that we may make. You will be billed for your renewal when your current Subscription term expires.

7. Customer’s Obligations

The Customer acknowledges that TTD Web Services Ltd ability to provide the Services is dependent upon the full and timely co-operation of the Customer (which the Customer agrees to provide), as well as the accuracy and completeness of any information and data the Customer provides to TTD Web Services Ltd. Accordingly, the Customer shall provide Us with access to, and use of, all information, data and documentation reasonably required by TTD Web Services Ltd for the performance by TTD Web Services Ltd of its obligations.

The Customer shall be responsible for the accuracy and completeness of the Materials on the Site.

The Customer shall confirm acceptance of the Site visual in writing to team@LoyalWebSolutions.co.uk. Substantial changes to the design of the Site visual will incur further costs.

The Customer shall provide Us with all necessary details of large changes to functionality of the Site at the earliest opportunity. Substantial changes to the functionality of the Site visual will incur further costs.

8. Customers Chance to Test the Site

We shall provide the Customer with an opportunity to review the appearance and content of the Site during the development phase and on Completion. On Completion of the Project the Site will be deemed to be accepted and approved by the Customer unless the Customer notifies LoyalWebSolutions.co.uk otherwise in writing within 10 working days from the date of Completion.

TTD Web Services Ltd’s obligations do not extend to updating substantial text on the page, major page reconstruction, new pages, guest books, discussion webs, navigation structure changes, attempted updates by Customer repairs.

9. Refunds

All fees are payable in advance and are non-refundable.

If We choose to cancel the Service We provide to You for any reason other than a breach of the terms of this Agreement by You, We will refund You on a pro rata basis.

In the event that Services are suspended temporarily or that any Services features modified You will not be entitled to a refund.

In the event of termination by the Customer, if We have commenced work on the Project but it has not yet been completed no refund will be paid to the Customer.

10. Completion Date and Delivery

We will use all reasonable endeavours to complete the Project in the agreed time unless otherwise specified in the Contract. Time shall not be of the essence for the performance of the Services.

We shall in no way be liable for any delay to Completion of the Project caused by the Customer.

If the Customer does not submit the Materials within 30 days of the Date the Contract was purchased the entire amount due under the terms of the Contract will become payable by the Customer.

If TTD Web Services Ltd fails to complete the Project its liability shall not be liable for any costs or expenses incurred by the Customer. We shall have no liability for any failure to complete the Project to the extent that such failure is caused by a Force Majeure Event, the Customer’s failure to provide Us with adequate delivery instructions or the Customer’s failure to provide the Materials.

Delivery of the Site may be accomplished by live publishing or electronic transfer to the Customer’s address provided on the Contract.

11. Disclaimers and Warranties

You agree that you use Our services at Your own risk.

The Services are provided on an “as is” and “as available” basis. We do not guarantee / warrant or represent that any Services will be uninterrupted or error-free. You accept that all Services are provided warranty-free. We make no promises as to the quality or fitness for a particular purpose of the Service except that we will operate the Site with reasonable skill and care of an online service provider.

TTD Web Services Ltd, its Directors, Officers, employees, agents and any associated third party service providers disclaim all warranties of any kind. Whether express or implied, including fitness for purpose and satisfactory quality and those relating to the exercise of reasonable care and skill are hereby excluded in relation to the Services to the fullest extent permitted by law.

We do not represent or endorse the accuracy or reliability of any advice, opinion, statement or other information displayed, uploaded or distributed through the Service by us, our partners or any member or any other person or entity. You acknowledge that any reliance upon such opinion, advice, statement or information is at your own risk.

Third party websites with links from the Site have not been verified or reviewed by TTD Web Services Ltd and use and access of such third party websites is made at your own risk.

12. Liability

We will try to solve any disagreements quickly and efficiently. If you experience any issues or concerns, you agree to be proactive and helpful to resolve whatever your issue or concern maybe.

By employing the services of TTD Web Services Ltd you agree to forfeit the rights to breach of contract.

You accept full liability for any and all legal costs you incur regardless of the verdict

All solicitors fees incurred by TTD Web Services Ltd for the purpose of defence or pursuit regardless of the verdict, will be at your expense, and due for payment with immediate effect.

We will not be liable for any indirect loss, consequential loss, loss of profit, revenue, data or goodwill howsoever arising suffered by You or for any wasted management time or failure to make anticipated savings or liability You incur to any third party arising in any way in connection with this Agreement or otherwise whether or not such loss has been discussed by the parties pre-contract or for any account for profit, costs or expenses arising from such damage or loss. We accept no liability for any loss of business for any reason.

In no case shall TTD Web Services Ltd, our directors, employees,  contractors,  suppliers, service providers or licensors be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind, including, without limitation lost profits, lost revenue, lost savings, loss of data, replacement costs, or any similar damages, whether based in contract, tort (including negligence), strict liability or otherwise, arising from your use of any of the service or any products procured using the service, or for any other claim related in any way to your use of the service or any product, including, but not limited to, any errors or omissions in any content, or any loss or damage of any kind incurred as a result of the use of the service or any content (or product) posted, transmitted, or otherwise made available via the service, even if advised of their possibility.

By employing our services, both you personally and your business, accept absolute and unlimited liability for any all costs you incur

Changes in Technology

We accept no responsibility or liability for changes in technology or changes in technology that may affect your project or business.  We accept no responsibility or liability for current, new or historic functionality limitations

Technology can change during a project and We accepts no liability or responsibility for this.

13. Force Majeure

We shall not be responsible for any failure to provide any Services or perform any obligation under this Agreement because of any act of God, strike, lock-outs or other industrial disputes (whether our employees or any other party) or compliance with any law  of governmental or any other order, rule, regulation or direction, accident, fire, flood, storm or default of suppliers, work stoppage, war, riot or civil commotion, equipment or facilities shortages which are being experienced by providers of telecommunication services generally, or other similar force beyond our reasonable control.

14. Intellectual Property Rights

The Customer shall indemnify TTD Web Services Ltd against all damages, losses and expenses arising as a result of any action or claim that the Materials infringe the Intellectual Property Rights of a third party.

TTD Web Services shall indemnify the Customer against all damages, losses and expenses arising as a result of any action or claim that the Site infringes any Intellectual Property Rights of a third party in the UK.

15. Site Content

The Customer shall be fully responsible for the Materials. We are not responsible for proofreading the Materials unless specifically agreed in writing.

We shall utilise existing Site content included with the Materials (if any) so far as possible. We do not however guarantee complete transfer of existing content and unless specified in the Contract has no obligation to improve the content provided.

The Customer shall ensure that the Materials do not infringe any applicable laws, regulations or third party rights (including material which is obscene, indecent, pornographic, seditious, offensive, defamatory, threatening, liable to incite racial hatred or acts of terrorism, menacing, blasphemous or in breach of any third party Intellectual Property Rights) (Inappropriate Content).

The Customer shall indemnify TTD Web Services Ltd against all damages, losses and expenses arising as a result of any action or claim that the Materials constitute Inappropriate Content.

16. Copyright

TTD Web Services Ltd may include the statement “Designed by LoyalWebSolutions.co.uk” on the home page of the Site. 

The ownership of all design work carried out by Us will always remain the ownership of TTD Web Services Ltd as per copyright law, notwithstanding once payment has been made
